In case of conflict, the Portuguese version prevails.* #### 1. Who we are and what these Terms cover Matchely is a sports management platform operated by **MATCHELY SPORTS LTDA**, Brazilian company number (CNPJ) 46.264.043/0001-07 ("Matchely", "we"). The platform lets athletes find each other, arrange matches and take part in competitions, and lets organizers create and run competitions. By accessing or using Matchely you agree to these Terms. If you do not agree, do not use the platform. Please also read our Privacy Policy. **Definitions.** A *Player* takes part in matches and competitions. An *Organizer* (or *Admin*) creates and runs competitions. *User* means either of them. #### 2. Account registration To use the platform you must create an account with truthful information and keep it up to date. You are responsible for the security of your account and for activity carried out through it. **Minimum age: 7 years old.** Registering a child under 12 requires consent from at least one parent or legal guardian, who is responsible for the child's use of the platform. Minors between 12 and 18 should use the platform under the supervision of their guardian. We may suspend or terminate accounts that breach these Terms, contain false information or pose a risk to other users. #### 3. Content, image rights and conduct **Image rights.** You are solely responsible for ensuring you hold the rights needed for the images and videos you publish, including in relation to the people shown in them. Matchely is not liable for infringements committed by users. **Prohibited content.** You may not publish content that is illegal, offensive, discriminatory, infringes third-party rights or improperly exposes other people. We may remove content and suspend accounts. **Licence.** By publishing content you grant Matchely a non-exclusive licence to display and distribute it on the platform and in promotional channels, as part of operating the service. **Competition logo and cover.** By creating a competition you authorise Matchely to use its logo and cover image for promotion and to produce items related to the competition, for as long as it is active on the platform. #### 4. Visibility of profiles and competitions Profiles are visible to authenticated users. The public profile page, accessible without login, is **off by default** for users without recent competitive activity and must be enabled by you. **Public rankings and activity-based public profile.** If you have played validated matches in the last 12 months, your name, username, profile photo and points may appear in the public ranking of your city and sport — pages accessible without login and indexable by search engines — and your public profile page may be enabled automatically. You can turn this off at any time in **Edit Profile → Public profile**; removal from public pages propagates within 24 hours. This automatic activation does not apply to users under 18. Users affected by the first activation of this feature will be notified at least 7 days in advance. Competitions are public by default, unless the Organizer chooses to make them private. We may promote public competitions through our channels. **Match and competition records are permanent.** They belong to all participants and to the competition, and are not deleted at an individual's request. On request we remove your profile photo, email, phone number, chat conversations and addresses. See section 7 of the Privacy Policy. The visibility settings for email, phone number and date of birth control how the information is displayed in the interface and do not technically prevent access by other authenticated users. See section 4 of the Privacy Policy. #### 5. Matchely PRO — subscription Matchely PRO is an **auto-renewable subscription** that unlocks additional features. **Plans and prices.** The available plans, their length and their price are shown in the app, in your local currency, before the purchase is confirmed. **The price shown at the time of purchase prevails** over any figure quoted elsewhere. **Automatic renewal.** The subscription renews automatically at the end of each period, at the then-current price, until cancelled. **Cancellation.** You may cancel at any time: * **Subscriptions purchased inside the app (iOS or Android):** cancel through your account settings on the App Store or Google Play, at least **24 hours** before the end of the period. Billing is handled by the store, and Matchely has no access to your payment details. * **Subscriptions purchased on the web:** cancel on the platform itself or through our contact channel. Cancelling stops future renewals. Access continues until the end of the period already paid for. **Refunds.** In-app purchases are refunded by Apple or Google under their own policies. For web purchases, the right of withdrawal under art. 49 of the Brazilian Consumer Code applies: 7 calendar days from purchase. **Price changes.** We may change prices. Active subscribers are notified in advance and any change applies only after the current period ends. #### 6. Paid competitions — the Organizer is the seller This section matters. Please read it carefully. When a competition charges an entry fee, **the sale is between the Player and the Organizer**. The Organizer is the **legal seller** of the entry and is responsible for: * setting the entry fee and the conditions for taking part; * running the competition as announced; * issuing tax documents where applicable; * deciding on refunds, cancellations and withdrawals; * meeting the tax and employment obligations of the competition. **Matchely is management software.** We do not organise competitions, we are not a party to the contract between Player and Organizer, and **we do not receive or hold entry fee money**. Payment is processed by payment providers that transfer funds **directly to the Organizer's account**. Matchely charges the Organizer a **service fee** for use of the platform, disclosed when the competition is created and itemised at checkout. **Complaints about a competition** — whether it took place, its format, prizes, or refunds of entry fees — must be addressed to the Organizer. We may mediate administratively and remove competitions that breach these Terms, but we are not liable for the Organizer's obligations. #### 7. Payment methods We use third-party payment providers. By purchasing, you also accept the terms of the applicable provider. We do not store credit card data. For subscriptions via automatic Pix, regulation requires the provision of a CPF and name, which are transmitted to the provider. #### 8. Service availability We work to keep the platform available, but it is provided "as is". We may change, suspend or discontinue features, giving notice in advance where the change is material. #### 9. Limitation of liability Matchely is not liable for: the conduct of users; injuries or damage occurring during matches and competitions; obligations undertaken by Organizers; content published by third parties; and outages caused by factors beyond our reasonable control. Nothing in these Terms limits rights that Brazilian law, in particular the Consumer Code, guarantees on a non-waivable basis. #### 10. Intellectual property The Matchely brand, software, design and content we produce are our property. You retain ownership of the content you publish. #### 11. Termination and account deletion You may delete your account at any time in the app, under **My Account → Data Usage → Delete My Information** — deletion is confirmed through a single-use link sent to your email, valid for 24 hours. We may terminate or suspend accounts in cases of breach of these Terms, fraud or risk to others. Deletion permanently removes your photos, contact details, location, connections and followers, preferences, rating data and statistics, and your access to the platform. **Match records, results and competition participations are not deleted**: they do not belong solely to you — they are shared records that form part of the sporting history of your opponents, partners and fellow competition participants, analogous to result records kept by sports federations. Your name remains associated with these records after deletion, without photos, contact details or location. See the Privacy Policy (sections 7 and 8) for details. #### 12. Changes to these Terms We may update these Terms. Material changes will be announced on the platform and will require a new acceptance. The version in force appears at the top. #### 13. Governing law and jurisdiction Brazilian law applies. The courts of the consumer's domicile are competent to settle disputes, in accordance with the Brazilian Consumer Code. #### 14.
